TERMS AND CONDITIONS

These are the terms and conditions of services provision in the Latin American region by Algorithmics Global FZE, a company established under the laws of the United Arab Emirates, domiciled in the Emirate of Dubai, under the product name Algonova (hereinafter – Algonova).

The services include additional education in the sphere of programming/mathematics (the Services).

The Services are provided to children in the age of 8-17 years old (hereinafter – the Student).

The Services are provided online. On our website you will find all the courses available on the Platform at the moment. The courses content and availability may vary from time to time.

The conditions of these Terms are accepted by making corresponding payments via links provided by Algonova.

Hereinafter, Algonova and the Representative are collectively referred to as the "Parties".

DEFINITIONS

Algonova web platform (Platform) means ready-to-use technology for online and in-person teaching of the basics of programming/mathematics, including analytical algorithms and other learning support elements, software, and intellectual property in the form of computer programs, databases, inventions, know-how, and other intellectual property united by a single concept and purpose, as well as various Platform add-ons.

Group Lesson means a lesson with the following minimum numbers of Students and lesson durations:

  • Visual programming — ages 8-11, min 6 students, 90 min per lesson

  • Game Design — ages 9-11, min 6 students, 90 min per lesson

  • Python Start — ages 12-14, min 6 students, 90 min per lesson

  • Python Pro — ages 14-17, min 6 students, 90 min per lesson

In case there are less than the minimum number of Students in a group, Algonova has the right to add Students to such group or transfer the Students from such group to another group.

Representative means any legal representative of a child (a person who has not reached 18 y.o.). The Representative is responsible for the Student's compliance with all the provisions of these Terms.

Private Lesson means a lesson for 1 Student with lesson duration of 60 minutes for Students of 8-17 y.o.

ARTICLE 1. RIGHTS AND OBLIGATIONS OF THE PARTIES

  1. The Student is entitled to:

  • a) Receiving guidance from Algonova's staff who possess the best qualifications.

  • b) Access to the learning modules provided.

  1. The Student is obliged to make full payments to Algonova.

  • a) The Student is entitled to receive a receipt from Algonova.

  • b) The Student agrees to waive their rights to make any claims against Algonova.

  1. The Student is obliged to maintain behaviour in accordance with the rules & regulations of Algonova and is expected to be polite and respectful to fellow Students, Algonova Staff, and Trainers.

  2. The Representative is responsible for the Student's timely presence at a lesson. In case the Student is late, the timeframe of the lesson shall not be changed, the Student shall be able to participate in the rest part of the lesson without any compensation.

  3. The Parties agree that these Terms become legally binding after the Student/Representative or any other person of their choice performs a corresponding payment via the link provided by Algonova.

  4. All obligations stipulated in these Terms are based on the assumption that all information provided by the Student is true and does not violate current legislation of the country of Student's (Representative's) residence or temporary stay from which the Student/Representative applied.

  • a) The Student agrees to waive all rights under these Terms if the information provided by the Student is not true.

  • b) Algonova has the right to deny and/or cancel all services to the Student if false information is found during the term of the Services provision.

  • c) Algonova, at its sole discretion, may choose to cancel the Services provision for any reason at any time. In this case, a proportional refund will be paid to the Student.

  1. Algonova will continue the Services provision if the Student has made full payment of outstanding loans/financing due to third parties, by attaching valid proof of payment.

ARTICLE 2. TECHNICAL REQUIREMENTS

  1. In order to be able to use the Platform (participate in online lessons, perform online educational activities) Student's computer has to have the following minimum technical requirements:

  • Operational system Windows 10, Mac OS BigSur 11+, Linux Ubuntu 20.04 and newer versions

  • A stable internet connection of not less than 30 mgb/s in each direction

  1. It is not possible to use the Platform via smartphone or tablet.

  2. Algonova cannot guarantee services provision in case of non-compliance with the above technical requirements.

ARTICLE 3. FEE. REFUND CONDITIONS

  1. The fee for the Services shall be paid in accordance with conditions of these Terms and individual conditions and/or discounts as additionally agreed via e-mail or other means of communication.

  2. The fee can be paid in full or by installments which shall be additionally agreed via e-mail or other means of communication. In case of payment by installments the conditions of corresponding bank or payment system may apply.

  3. The price list is attached in appendix no. 1 herein.

  4. The study period depends on the chosen course.

  5. Algonova reserves the right to change course prices and/or discount system at any time unilaterally.

  6. Refund Conditions:

  • a) In case the refund request has been filed within the timeframe specified in clause 7 art. 4, Algonova shall partially refund the course price after deduction of the cost of the lessons which took place before the refund request irrespective of Student's participation in them.

  • b) Refund request shall be proceeded within thirty (30) calendar days from the day the Representative files a refund request form via e-mail or other means of communication.

ARTICLE 4. ONBOARDING. SCHEDULE. LEARNING PROCESS

  1. The Representative can choose and sign up their child for any of the available courses for Group Lessons or Private Lessons, but the Representative should consider Algonova recommendations as each course targets a specific age group.

  2. There are several package deals available for purchase: 8, 10, 16, 32, 64, 96 and 128 lessons. Lessons from the package start expending from the first lesson which the Student was signed up for.

  3. Courses take place in accordance with the schedule (dates and time) agreed by the Parties. The schedule can be agreed via e-mail/phone/whatsapp or other means of communication within 10 (ten) business days after the Fee for the Services is paid.

  4. Schedule for Private Lessons is adjusted by support team for the Student based on the requested date/time and available slots in the tutors schedules. Estimated date of the first lesson is within 10 business days after the schedule was agreed by the Representative/Student.

  5. Algonova has a right to change the content of classes taking into account each group's specifics or as may be agreed with a concrete Student (Representative) in case of Private Lessons.

  6. Algonova has a right to change the schedule of classes during state and national holidays.

  7. In case the Student cannot participate in scheduled lessons: Lessons cancellation is available subject to at least 48 hours (for Group Lessons) and 24 hours (for Private Lessons) prior notice from the Representative before the lesson which the Student is unable to participate in. In case the notice was not timely made, the lesson shall be considered participated in.

  • For Group Lessons: the lessons missed shall be expended from the purchased package. There shall not be a makeup class or any compensation for one (1) missed lesson. In case of two or more missed lessons with viable cause, the Student shall be granted thirty (30) minutes individual makeup class for each two (2) missed lessons.

  • For Private Lessons: the Representative gives preliminary notice to Algonova not less than 24 hours. In case of late notice one (1) lesson shall be expended from the purchased package.

  • In case when the Student cannot start learning from the scheduled date, such date can be suspended for a maximum period of three (3) months subject to preliminary notice from the Representative not less than 48 hours (24 hours for Private Lessons) before the corresponding course scheduled start date. In case the Student does not resume the course within the three (3) months period since its suspension, the amount paid for the course shall be considered used and not subject to refund.

  1. Learning materials can be found on the Platform. Algonova does not provide printed materials for learning.

  2. The main activities including video conferences (lessons) will be conducted through the Platform.

  3. Certificate confirming participation in educational process can be issued to Students which completed at least 1 level of education (32 lessons).

ARTICLE 5. TERMINATION OF PROVISIONS

  1. These provisions shall be deemed terminated if any of the following conditions occur:

  • a) The course/lessons package which was paid for is finished

  • b) The Student passes away

  • c) Algonova decides to cancel the Services provision due to a violation of Algonova's rules and policies for any reason

  • d) Algonova and all its operational activities cease

  • e) The Student engages in unethical and illegal activities

  1. Algonova has the right to cancel the Services provision at its sole discretion if at any time a Student:

  • a) Incites other Students and/or staff and/or other parties to engage in dangerous actions considered crimes and/or immoral

  • b) Threatens employees or other Students

  • c) Distributes prohibited, illegal, threatening or immoral content

  • d) Engages in any actions against Algonova

ARTICLE 6. CONFIDENTIALITY AND IP RIGHTS. PERSONAL DATA.

  1. All content and materials owned by Algonova shall be kept confidential.

  2. It is strictly prohibited to distribute to any third parties, copy or post in social media (including but not limited to facebook.com, youtube.com, etc) any content and/or materials and/or screenplay of lessons. Occurrence of such violation shall lead to immediate cancellation of the Services provision with no refund of any prepaid amounts. Algonova has the right to demand a penalty in the amount of MXN 27 000 per each violation of this kind. Also Algonova reserves the right to decline any future applications for any courses from the offending Student/Representative.

  3. Algonova receives the right to use any content created by the Student on the Platform in any possible ways without any additional permission from the Student.

  4. By performing any activity on Algonova web-site and/or entering into these Terms the Representative agrees that their personal data and the personal data of their child shall be processed by Algonova as it is established by the Privacy Policy.

  5. Any violations may be followed by sanctions in accordance with applicable laws and the immediate cancellation of the Services provision.

ARTICLE 7. LANGUAGE

In the event of any conflict or inconsistency between the Spanish and English versions of these Terms, the Spanish version shall prevail.

ARTICLE 8. MISCELLANEOUS

  1. Algonova may transfer the rights and obligations under these Terms to a Third Party at any time with or without notice.

  2. The implementation of these Terms is subject to and governed by the current legislation of the country of Student's (Representative's) residence or temporary stay from which the Student/Representative applied.

  3. The parties agree that any differences, disputes, conflicts, or controversies arising from or in connection with the implementation of these Terms will be resolved through amicable deliberation.

  4. In the event the parties cannot reach an agreement through amicable deliberation, the parties will refer the dispute to the competent court of Mexico City.

  5. Matters that are not or insufficiently regulated in these Terms will be discussed through deliberation and, if necessary, will be stipulated in a separate addendum.
